License Agreement

This License Agreement (the “Agreement”) is entered into by and between https://nicup.art (“Licensor”) and any individual or entity (“Licensee”) who accepts the terms of this Agreement. By accepting the terms of this Agreement, Licensee agrees to be bound by its provisions.

1. Grant of License

Licensor grants Licensee a non-exclusive, non-transferable, revocable license to use the software, artwork, or content (the “Work”) provided by Licensor. This license is subject to the terms and conditions outlined in this Agreement.

2. Permitted Uses

Licensee is permitted to use the Work for the following purposes:

• Evaluation, testing, and review of the Work.

3. Prohibited Uses

Licensee is expressly prohibited from:

• Redistributing, selling, licensing, or sub-licensing the Work.
• Using the Work for commercial purposes.
• Modifying or creating derivative works based on the Work for commercial purposes.
• Removing or altering any copyright notices or watermarks present on the Work.
• Using the Work in any manner that violates applicable laws or infringes on the intellectual property rights of Licensor or third parties.

4. Intellectual Property

Licensor retains all rights, title, and interest in and to the Work, including any derivative works created by Licensee.

5. Warranty and Disclaimer

The Work is provided “as is” and without warranties. Licensor disclaims all warranties, including but not limited to, the implied warranties of merchantability and fitness for a particular purpose.

6. Limitation of Liability

Licensor shall not be liable for any damages, including but not limited to, direct, indirect, special, or consequential damages arising out of the use or inability to use the Work.

7. Termination

This license is effective until terminated by either party. Licensee may terminate it at any time by ceasing to use the Work. Licensor may terminate the license if Licensee breaches any terms of this Agreement.

8. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the European Union. Any legal action arising out of or related to this Agreement shall be brought in the state or federal courts located within the European Union.

9. Entire Agreement

This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous understandings, agreements, representations, and warranties.

10. Acceptance

By using the Work, Licensee acknowledges that they have read and understood this Agreement and agree to be bound by its terms and conditions.
